Terms of Service

1. Acceptance of Terms

By accessing or using the Metriyoplatform (the "Service"), operated byMetriyo("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Metriyo is a multi-tenant SaaS platform for organizational management, including department management, role management, user management, task scheduling, holiday management, bulk operations, AI-powered assistance, and related features. The Service is provided on a subscription basis with multiple plan tiers (Free, Premium, Business, Enterprise), each with different feature sets and usage limits.

3. Account Registration and Security

  • You must provide accurate and complete information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You must notify us immediately of any unauthorized access to or use of your account.
  • We reserve the right to suspend or terminate accounts that provide false or misleading information.
  • Each tenant workspace is isolated by subdomain. You are responsible for managing user access within your workspace.

4. Subscription Plans and Payments

4.1 Plans and Pricing

The Service is offered under multiple subscription plans with varying features and limits. Current plan pricing is displayed on our pricing page. We reserve the right to modify pricing at any time with 30 days' prior notice. Price changes will take effect at the start of your next billing cycle.

4.2 Payment Terms

  • Paid subscriptions are billed monthly in advance in Indian Rupees (INR).
  • Payments are processed through Razorpay. By making a payment, you also agree to Razorpay's terms of service.
  • All fees are exclusive of applicable taxes, which will be added where required.
  • Plan upgrades take effect immediately upon successful payment.

4.3 Refund Policy

All subscription fees are non-refundable except where required by applicable law. No refunds or credits will be issued for partial months of service, downgrades, or unused features within your plan. In the event of a billing error, you must notify us within 15 days of the charge for us to investigate and issue a correction if warranted.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations;
  • Upload, transmit, or store any content that is harmful, threatening, abusive, defamatory, or otherwise objectionable;
  • Attempt to gain unauthorized access to other tenant workspaces, user accounts, or our systems;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service;
  • Use the Service to build a competing product or service;
  • Resell, sublicense, or redistribute the Service without our express written consent;
  • Use automated scripts, bots, or scraping tools to access or collect data from the Service;
  • Circumvent or attempt to circumvent any usage limits, rate limits, or feature restrictions of your plan;
  • Upload malicious files, malware, or any content designed to disrupt the Service;
  • Misuse the AI features by submitting content that violates third-party AI provider terms or generates harmful outputs.

6. Your Data

6.1 Ownership

You retain ownership of all data you submit to the Service ("Your Data"). By using the Service, you grant us a limited, non-exclusive, worldwide license to use, process, and store Your Data solely for the purpose of providing and improving the Service.

6.2 Responsibility

You are solely responsible for the accuracy, quality, integrity, and legality of Your Data and the means by which you acquired it. You represent and warrant that you have all necessary rights and consents to submit Your Data to the Service, including personal data of your organization's users.

6.3 Data Processing

We process Your Data in accordance with our Privacy Policy. When you use AI features, your queries and relevant context are sent to third-party AI providers to generate responses. You acknowledge and consent to this processing.

7. Intellectual Property

The Service, including its design, architecture, features, source code, documentation, trademarks, logos, and all related intellectual property, is and remains the exclusive property of the Company. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without any obligation to you, including the right to incorporate such feedback into the Service without compensation or attribution.

8. Service Availability and Modifications

  • We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service is provided on an "as is" and "as available" basis.
  • We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.
  • Scheduled maintenance windows may result in temporary service interruptions. We will endeavor to provide advance notice of planned maintenance when practicable.
  • We reserve the right to impose or modify usage limits, rate limits, and storage limits at our discretion.

9. Third-Party Services

The Service integrates with third-party services including but not limited to Razorpay (payments), Resend (email), and AI providers (OpenAI, Anthropic, Google). Your use of these integrations is subject to the respective third party's terms and policies. We are not responsible for the availability, accuracy, or conduct of any third-party service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • THE COMPANY, ITS DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
  • OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED INDIAN RUPEES (INR 100), WHICHEVER IS GREATER.
  • WE SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE ARISING FROM YOUR FAILURE TO MAINTAIN THE SECURITY OF YOUR ACCOUNT CREDENTIALS, UNAUTHORIZED ACCESS TO YOUR WORKSPACE, OR YOUR VIOLATION OF THESE TERMS.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED CONTENT OR OUTPUTS. YOU USE AI FEATURES AT YOUR OWN RISK AND ARE RESPONSIBLE FOR VERIFYING ANY AI-GENERATED INFORMATION BEFORE RELYING ON IT.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) Your Data or any content you submit through the Service; or (e) your infringement of any third-party rights.

13. Termination

13.1 By You

You may stop using the Service at any time. Cancellation of a paid subscription will take effect at the end of the current billing period. No refunds will be issued for the remaining period.

13.2 By Us

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to: breach of these Terms, non-payment, suspected fraudulent or abusive activity, or if required by law. Upon termination, your right to use the Service ceases immediately.

13.3 Effect of Termination

Upon termination, we may retain Your Data for a reasonable period to comply with legal obligations, resolve disputes, and enforce our agreements. After such retention period, Your Data may be permanently deleted. We are not obligated to provide data export upon termination unless required by applicable law.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in India. You waive any objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Before filing any formal legal proceedings, you agree to first attempt to resolve the dispute informally by contacting us. If the dispute is not resolved within 30 days, either party may proceed with formal legal action.

15. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, pandemics, war, terrorism, labor disputes, power failures, internet or telecommunications failures, or third-party service outages.

16. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
  • Amendments: We reserve the right to modify these Terms at any time. Material changes will be communicated with at least 15 days' notice. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.
  • Survival: Sections relating to intellectual property, limitation of liability, indemnification, governing law, and any other provisions that by their nature should survive termination, shall survive termination of these Terms.
